Terms of Service

1. DEFINITIONS

1.1 "Company" means GreenCoreTech MCHJ, a limited liability company registered in the Republic of Uzbekistan.

1.2 "Client" means any legal entity or individual that engages the Company for IT services under a separate written Service Agreement.

1.3 "Website" means the website accessible at greencoretech.uz and all its subdomains.

1.4 "Services" means software development, managed hosting, AI integration, mobile application development, system integration, and related IT services provided by the Company.

1.5 "Service Agreement" means a formal written contract between the Company and the Client governing the specific terms of service delivery.

2. WEBSITE USE

2.1 The Website is provided for informational and commercial inquiry purposes. Access is granted free of charge and does not constitute a service agreement.

2.2 You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website in any way that violates applicable laws or regulations of the Republic of Uzbekistan.

2.3 You must not attempt to gain unauthorised access to any part of the Website, its servers, or any related systems or networks.

2.4 The Company reserves the right to suspend or terminate access to the Website without notice for breach of these Terms or for maintenance purposes.

3. SERVICES AND SERVICE AGREEMENTS

3.1 All IT services are governed by a separate written Service Agreement signed by both parties. These Terms apply in addition to, and do not replace, any Service Agreement.

3.2 No binding obligation to deliver services arises from an inquiry submitted through the Website contact form. A Service Agreement becomes binding only upon signature by authorised representatives of both parties.

3.3 The Company reserves the right to decline any engagement at its sole discretion, without obligation to provide reasons.

3.4 Service specifications, timelines, pricing, and SLA terms are defined exclusively in the applicable Service Agreement.

4. INTELLECTUAL PROPERTY

4.1 All content on the Website — including but not limited to text, graphics, logos, icons, images, and code — is the exclusive intellectual property of GreenCoreTech MCHJ and is protected under the Law of the Republic of Uzbekistan No. ZRU-611 "On Copyright and Related Rights".

4.2 You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content from the Website without prior written consent of the Company.

4.3 Software, systems, and deliverables developed under a Service Agreement are governed by the intellectual property provisions of that Agreement. Unless explicitly stated otherwise in the Service Agreement, all intellectual property rights in developed software remain with GreenCoreTech MCHJ, with a non-exclusive licence granted to the Client for use within their business.

4.4 The name "GreenCoreTech", the logo, and associated brand elements are trademarks of GreenCoreTech MCHJ. Unauthorised use is prohibited.

5. CONFIDENTIALITY

5.1 Any non-public information disclosed by either party during pre-contractual discussions or service delivery — including technical specifications, business information, pricing, and data — is confidential.

5.2 Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

5.3 This confidentiality obligation survives termination of any agreement between the parties for a period of three (3) years.

6. LIMITATION OF LIABILITY

6.1 The Website and its content are provided "as is" without warranties of any kind, express or implied. The Company does not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

6.2 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Website.

6.3 The Company's total aggregate liability for any claim arising from Website use shall not exceed UZS 100,000 (one hundred thousand Uzbek Soum).

6.4 Liability for services rendered under a Service Agreement is governed exclusively by the terms of that Agreement and applicable law.

7. THIRD-PARTY LINKS

The Website may contain links to third-party websites. These links are provided for convenience only. The Company has no control over the content of those sites, assumes no responsibility for them, and provides no warranty regarding their accuracy, legality, or content. Visiting linked websites is entirely at your own risk.

8. AVAILABILITY AND CHANGES

8.1 The Company does not guarantee uninterrupted availability of the Website and reserves the right to modify, suspend, or discontinue the Website at any time without notice.

8.2 The Company reserves the right to revise these Terms at any time. The revised Terms will be posted at greencoretech.uz/terms with an updated effective date. Continued use of the Website after such changes constitutes acceptance of the revised Terms.

8.3 It is your responsibility to review these Terms periodically.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan.

9.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Uzbekistan.

9.3 Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of not less than thirty (30) calendar days.

10. GENERAL PROVISIONS

10.1 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.2 Failure by the Company to enforce any right under these Terms shall not constitute a waiver of that right.

10.3 These Terms, together with the Privacy Policy published at greencoretech.uz/privacy, constitute the entire agreement between you and GreenCoreTech MCHJ with respect to the use of the Website.
